会社分割（吸収分割）および株式譲渡による一部事業の譲渡に関するお知らせ

株式会社フォトロンは、当社の映像システム事業を、当社が本件取引の実行を目的として設立した子会社に吸収分割により承継させた上で、当該子会社の発行済株式の全部をヒビノ株式会社に譲渡（以下、「本件取引」）することで合意し、2026年3月26日に株式譲渡契約を締結しましたのでお知らせします。

映像システム事業の概要

当社の映像システム事業は、放送局や映像制作会社、配信事業者向けに、映像の制作から配信、管理までを支援するシステムインテグレーターとしての役割を担っています。主な事業内容は以下の通りです。

映像制作システムの構築とアフターサービス

国内外の最先端技術を組み合わせ、放送局の報道・制作現場やポストプロダクション向けのスタジオシステム、編集システムを構築し、導入後の万全な技術サポートを提供。

ファイルベース・ワークフロー自動化ソリューションの提供

多種多様な映像素材のコンテンツチェックやトランスコードといった、従来手動で行われていた業務を自動化するソリューションの提供。

IP化への支援

次世代の放送規格であるIP化（映像伝送のネットワーク化）への移行を支援し、リソースの共有や共通基盤化を実現する最新機器導入の支援。

本件取引の背景と目的

当社の映像システム事業は、当社の前身である大沢商会時代に、映画用カメラ・フィルム撮影（シネマトグラフィ）を中心とした、映像制作の現場を支える技術・機材の提供が源流です。当時の動画記録は、フィルムと化学処理が中心で、ニュースやドラマ制作だけでなく、科学・医療分野でも幅広く活用されてきました。

動画の記録がフィルムからアナログ、そしてデジタルへとメディアや方式は変化していきましたが、当社はその度ごと顧客のニーズに応え続けました。また、IMAGICA GROUP内での映像事業再編により、映像システム事業は単なる機器提供にとどまらず、より高度な映像システムの構築とサービス提供を担う唯一無二のプロフェッショナル集団として、放送局・プロダクション向けの機器・システム提供を軸に、設計、構築、導入、運用支援までを担うシステムインテグレーターへと役割を広げてきました。

一方、近年の放送業界は、IP化・クラウド化を中心とした劇的な環境変化のさなかにあります。

Transfer of Video Solution Business by PHOTRON LIMITED through Absorption-type Company Split and Share Transfer

Tokyo, Japan – PHOTRON LIMITED has agreed to transfer the Company’s Video Solution Business to a subsidiary established by the Company for the purpose of this transaction(hereinafter “the Subsidiary”), through absorption-type company split, and then transfer all the shares of the Subsidiary to Hibino Corporation (hereinafter “the Transaction”). The Company signed a share transfer agreement on March 26, 2026.

Overview of Video Solution Business

The Video Solution Business plays the role of a system integration essential in supporting production, distribution, and video management for broadcasters, video production companies, and distribution operators. The business includes:

Video Production System Development with After-Sales Support

Combine technologies from both Japan and overseas to build and integrate studio and editing systems for broadcasters’ news and production sites as well as post-production facilities, backed by comprehensive technical support.

File-based Workflow Automation Solutions

Provide solutions to automate conventionally manually performed processes, including content checking and transcoding of a wide variety of video materials.

IP Migration Support

Support IP migration (networking of video transmission) to facilitate transitions to the next-generation of broadcasting standard, and assist an introduction of the latest equipment to enable resource sharing and infrastructure establishment.

Background and Purpose of Transaction

The Video Solution Business originates from J. Osawa & Co., Ltd., the Company’s predecessor that provided technology and equipment to support video production sites, catered for cinema cameras and film shooting (cinematography). Video recording primarily relied on film and chemical processing, widely utilized not only in news and drama production but also in scientific and medical fields. While the media and methods of video recording have evolved from film to analog, and then to digital, the Company has consistently met customer needs at every stage. Furthermore, through the reorganization of the business within IMAGICA GROUP, the Video Solution Business expanded its role beyond equipment provision. It has grown into a unique professional group capable of building highly advanced visual systems and providing services. the Video Solution Business has been a system integrator handling end-to-end from design, construction, implementation to operational support, catered for broadcasters and productions.

The broadcasting industry in recent years has undergone dramatic environmental changes including the shift to IP and cloud technologies.
